TERMS OF SALE AGREEMENT

This agreement (“Agreement”) is made and entered into on the date of purchase (“Effective Date”) between the photographer (“Seller”) and the purchaser (“Buyer”) regarding the sale of digital images (“Product”).

1. Product
Seller agrees to sell and deliver to Buyer the Product in digital format as specified on the Seller’s website or online platform.

2. Ownership
Seller retains all ownership rights to the Product, including all copyrights and other intellectual property rights. Buyer may use the Product only as specified in Section 3 of this Agreement.

3. License
Seller grants Buyer a non-exclusive, non-transferable license to use the Product for personal, non-commercial purposes only. Buyer may not use the Product for commercial purposes or sell or distribute the Product to third parties. Buyer may not modify or alter the Product without the prior written consent of Seller.

4. Payment
Buyer shall pay the full purchase price as specified on the Seller’s website or online platform at the time of purchase. All sales are final and non-refundable.

5. Delivery
Seller shall deliver the Product to Buyer via download link or other means as specified on the Seller’s website or online platform.

6. Warranty and Disclaimer
Seller warrants that the Product is free from defects in materials and workmanship. However, Seller makes no other warranties, express or implied, regarding the Product, including but not limited to any warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability
Seller’s liability for any claims arising out of or related to this Agreement shall be limited to the purchase price paid by Buyer for the Product. In no event shall Seller be liable for any consequential, incidental, or indirect damages, including but not limited to lost profits or damages resulting from loss of use, data, or goodwill.

8. Indemnification
Buyer agrees to indemnify and hold Seller harmless from any and all claims, damages, or expenses arising out of Buyer’s use of the Product in violation of this Agreement.

9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the sale of the Product and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

By purchasing the Product, Buyer acknowledges that they have read and agree to the terms and conditions of this Agreement.
